1. Agreement to Terms

By downloading, installing, or using SideDoc ("the Application"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Application.

These Terms apply to all users of the Application, including the desktop application for Windows and macOS, as well as any related services, APIs, and websites operated by SideDoc.

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the Application on devices you own or control
Use the Application for personal or commercial file management purposes
Access the AI-powered features according to your subscription plan

3. Prohibited Activities

You agree NOT to:

Reverse engineer, decompile, or disassemble the Application or any part thereof
Attempt to extract source code or underlying algorithms from the Application
Reverse engineer our API or attempt to access backend services through unauthorized means
Create derivative works based on the Application
Modify, adapt, or hack the Application or its services
Circumvent, disable, or interfere with security features or usage limits
Use automated systems (bots, scrapers) to access our services beyond normal Application use
Share, resell, or redistribute your account credentials or subscription
Use the Application for illegal purposes or in violation of any applicable laws

4. Subscription and Payment

4.1 Plans and Pricing

SideDoc offers various subscription plans with different AI credit allocations. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

4.2 AI Credits

AI credits are consumed when you use AI-powered features. Unused credits do not roll over to the next billing period. Credit usage varies based on the complexity of operations.

4.3 Billing

Subscriptions are billed monthly or annually, depending on your chosen plan. Payments are processed securely through Stripe. You authorize us to charge your payment method on each billing date.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods or unused credits.

5. Intellectual Property

The Application, including all code, design, graphics, and documentation, is the exclusive property of SideDoc and is protected by copyright, trademark, and other intellectual property laws.

Your files and content remain your property. We do not claim any ownership rights over the files you process using SideDoc.

6. User Responsibilities

You are responsible for:

Maintaining the security of your account credentials
All activities that occur under your account
Ensuring you have the right to process files you use with SideDoc
Maintaining backups of your important files
Using the Application in compliance with applicable laws

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Application will be uninterrupted, error-free, or free of harmful components. AI-generated suggestions should be reviewed before execution.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEDOC SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of data, profits, or business opportunities
Damages resulting from file operations performed by the Application
Any damages exceeding the amount paid by you in the 12 months preceding the claim

Important: Always review proposed file operations before confirming them. SideDoc shows previews of changes for your approval, and you are responsible for confirming actions before they are executed.

9. Indemnification

You agree to indemnify and hold harmless SideDoc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Application, violation of these Terms, or violation of any rights of third parties.

10. Termination

We may terminate or suspend your access to the Application immediately, without prior notice, if you:

Violate these Terms
Engage in prohibited activities (especially reverse engineering)
Fail to pay subscription fees
Use the Application in a manner that could harm our services or other users

Upon termination, your license to use the Application ends immediately. Provisions that by their nature should survive termination will survive.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Application. Continued use after changes take effect constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction.

Acknowledgment

By using SideDoc, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, please do not use the Application.
